- AGREEMENT TO ALL TERMS
- Parties to this Agreement
“Timely”, “we”, “us”, or “our” refers to Timely Network Inc., a company incorporated under the laws of the province of British Columbia (registration number BC0936187);
“Ticket Creator”, “Ticket Seller”, “Seller”, “you”, or “your” herein refers to a person or entity who has created an account with Timely Network and intends to create and distribute or sell Event Tickets (defined below);
“Ticket Buyer” or “Buyer” herein refers to a person or entity that buys or intends to buy one or more Event Tickets (defined below) to an event created by Ticket Creator.
“Merchant” herein refers to a Ticket Creator that sells Tickets or other services to third parties including but not limited to Ticket Buyers, using Services provided by Timely.
“Timely Ticketing” refers to the ticketing platform and related services provided by Timely;
“Timely Calendar”, “Event Calendar” or simply “Calendar” refers to a Service provided by Timely that displays event listings and details, on behalf of the Customer and may be listed at the Customer’s Calendar URL for the purpose of providing End Users with the ability to view said event listings and details;
“Ticketed Event” refers to any event submitted pursuant to those terms outlined in the sections below that advertises, distributes, or sells tickets through Services provided by Timely.
- Timely Ticketing Services
Timely Ticketing is the feature of Timely’s Services that allows you to create an event with tickets in your calendar Admin Dashboard for display on your Calendar. If you create a Ticketed Event, Buyers will be able to purchase event tickets from the Calendar it was originally created on, or from any other Timely Calendar that have imported the event via their Import Feeds feature.
- Merchant Terms
Any Ticket Creator that receives payment in any form for Services provided via Timely Services, including Timely Ticketing, is herein referred to as a Merchant. For example, You are referred to as a Merchant if you receive payment in any form from third parties in exchange for the provision of one or any of event tickets, advertising and promotion, and posting of any content or feature to your Calendar. Merchants are fully responsible to invoice, determine, collect, report, and ensure the proper invoicing and collection and reporting of any applicable tax, levy, or other government-related fees. TIMELY ASSUMES NO RESPONSIBILITY NOR LIABILITY FOR ANY OR ALL OF DETERMINATION, COLLECTION, INVOICING, AND REPORTING OF TAXES ON BEHALF OF MERCHANT ACTIVITIES.
- Payment and Reporting for Ticket Sales
Ticket Buyers must provide credit card payment directly to your third party payment processor (i.e. PayPal) for the purchase of Event Tickets. You will be able to see the history of tickets sold for your events in your Admin Dashboard.
- Your Timely Account
Timely Ticketing can only be used by you after you have created an account with Timely by completing the following registration process:
- Register for Timely Ticketing
You must provide the information requested in the Admin Dashboard to register prior to accessing Timely Ticketing. You hereby provide Timely permission to use your personal information collected during the registration process only for the purpose of: a) direct communication between Timely and you, b) providing the Timely Network Service to you, and d) sending you notifications as required from time to time in connection with your use of Timely Services. Timely shall only release your personal information provided during registration if required to do so by law.
- Accept Timely’s Terms of Service
IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT COMPLETE THE REGISTRATION PROCESS REQUIRED TO CREATE A TICKETED EVENT USING TIMELY TICKETING.
- Timely Network account sign-out (API sign-out)
Ticket Sellers must assume full responsibility to manage their events and any Ticket Buyers, and Timely is not responsible for any issues you may encounter, including issues related to any or all of the following conditions:
- If you sign-out of the Timely Network API, all created tickets and user access to them will cease.
- If you delete the Calendar or Calendar software, your events will no longer be accessible through his admin interface; however, they will remain accessible via the API.
- If you modify Ticket details anywhere except via the admin dashboard, the modifications will not take effect on the checkout process and will not be seen by the Ticket Buyer.
- Cancellation of a Ticketed Event
TIMELY ACTS ONLY AS AN INTERMEDIARY TO THE RELATIONSHIP BETWEEN THE TICKET SELLER AND THE TICKET BUYER. TIMELY DOES NOT ACCEPT ANY RESPONSIBILITY OR LIABILITY FOR SERVICES PROVIDED BY TICKET SELLERS TO TICKET BUYERS.
TICKET CREATORS ARE FULLY RESPONSIBLE FOR NOTIFYING TICKET BUYERS IF AN EVENT HAS BEEN CANCELLED OR OTHERWISE MODIFIED, OR IF CONDITIONS RELATED TO THE RIGHTS OF TICKET HOLDERS HAS CHANGED. THE RELATIONSHIP BETWEEN TICKET SELLERS AND TICKET BUYERS, AND THE TICKET SELLER’S EXCHANGE AND REFUND POLICY GOVERNS ANY REFUND AND EXCHANGE POLICY FOR EVENT TICKETS, SUBJECT TO THE TERMS AND CONDITIONS OF YOUR PAYMENT PROCESSOR. ANY REFUND IN THE BETA VERSION OF TIMELY SERVICES SHALL BE SETTLED DIRECTLY BETWEEN THE SELLER AND THE BUYER.
- Governing Law and Venue
This Agreement shall be governed exclusively by the laws of the Province of British Columbia, Canada. You consent and agree that the courts of the Province of British Columbia, Canada shall have jurisdiction over any legal action or proceeding brought by you arising out of or relating to this Agreement, and You consent to the jurisdiction of such courts for any such action or proceeding.
